The short answerOur professional fee for One Person Company registration starts from ₹3,999 plus 18% GST. One digital signature, state stamp duty, PAN and TAN are added at cost. The MCA fee is nil up to ₹15 lakh authorised capital, and the nominee consent in INC-3 carries no charge. How much is stamp duty in each state?

What changes the cost?

  1. Your state

    Stamp duty on the MOA, AOA and SPICe+ form is a state levy. The same OPC costs different amounts in Maharashtra, Karnataka and Delhi.

  2. Authorised capital

    Stamp duty rises with capital in most states. ₹1 lakh is enough to start and can be increased later.

  3. Digital signatures

    An OPC needs one director's DSC. If the nominee also becomes a director later, a second DSC is added then, not now.

  4. The plan you choose

    Starter covers incorporation and the nominee consent. Growth adds GST and Udyam registration, the share certificate and bank account help. Complete adds INC-20A, the auditor appointment and a 12-month compliance calendar.

  5. NRI founder

    An NRI can form an OPC, but documents attested abroad and a longer DSC process add cost and a week or two. We quote that on the call.

What is not included

  • The statutory audit fee, quoted by the independent auditor after incorporation
  • Attestation of documents for an NRI founder
  • Registered office rental or a virtual office address
  • Professional tax, Shop and Establishment and other state registrations

Questions founders ask about OPC cost

Is an OPC cheaper to register than a Private Limited Company?

Slightly, because there is one digital signature instead of two and our fee is lower. Stamp duty and the PAN and TAN fee are the same. The bigger saving is in running costs: no AGM, relaxed board meeting rules and MGT-7A instead of MGT-7.

What is the government fee for OPC registration?

The MCA incorporation fee is nil up to ₹15 lakh authorised capital. You pay stamp duty on the MOA, AOA and SPICe+ form to your state, the PAN and TAN fee, and the digital signature from a certifying authority. Each line is shown for your state in the estimator.

Does the nominee cost anything?

No. The nominee's consent is filed in Form INC-3 with the incorporation, and there is no fee for it. The nominee needs a PAN and Aadhaar but not a digital signature or a DIN, because they only step in if the member dies or becomes incapacitated.

Is GST charged on the fee?

GST at 18% applies on our professional fee. Stamp duty, PAN and TAN and the DSC are government-side costs without GST. If your OPC registers for GST, the GST on our fee is claimable as input credit.

What changes if I set higher authorised capital?

Only stamp duty, in most states, until you cross ₹15 lakh, where the MCA fee starts. Authorised capital is a ceiling, not money you must deposit; paid-up capital can be ₹10,000. Most founders start at ₹1 lakh.

What does an OPC cost to run each year?

Plan for ₹12,000 to ₹18,000 a year: the statutory audit, AOC-4 and MGT-7A, DIR-3 KYC for you as director, and the income tax return. There is no AGM. GST returns are extra if registered. Our company annual filings page prices this the same way.
