How this works

The estimator starts with the MCA incorporation fee, which is nil for authorised capital up to ₹15 lakh and rises in slabs above that, and adds the fee for name reservation and DIN allotment where they apply.

It then adds stamp duty on the memorandum, articles and the SPICe+ form using the published rate for the state of your registered office; because states revise these rates and some charge a percentage of capital, the stamp duty figure is indicative until we verify it for your state at filing.

Digital signature certificates are counted per director or designated partner at the certifying authority's typical price, and the professional fee for the plan you select is added with GST.

The result is an all-in estimate of what you will pay to receive the certificate of incorporation; it does not include post-incorporation costs such as the first audit or annual filings, which the Compliance Calendar tool covers.

Questions founders ask about the company cost estimator

Why does the estimate change when I change the state?

Because stamp duty on the incorporation documents is a state tax, collected by the MCA on the state's behalf. Most large states charge ₹1,000 to 2,500 for small capital, while Punjab, Kerala and Madhya Pradesh charge more because part of the duty is a percentage of authorised capital.

Is the MCA fee really nil?

Yes, for authorised capital up to ₹15 lakh the MCA charges no incorporation fee for a Private Limited Company or OPC. You still pay stamp duty, a fee for a standalone name application, and DSC costs. Above ₹15 lakh the fee rises in slabs with the capital.

Does the estimate include GST registration and the bank account?

GST registration is free from the government and is applied for in the same SPICe+ filing through AGILE-PRO-S, along with EPFO, ESIC and the bank account. Whether the professional fee covers preparing those applications depends on the plan you pick, and the estimator shows what each plan includes.

What does the estimate leave out?

Costs after incorporation: the first auditor, share certificate stamp duty, bookkeeping, annual ROC filings and income tax returns. It also excludes notarisation and apostille costs for foreign directors. Use the Compliance Calendar and Late Fee Calculator to budget for the first year.

Should I set a high authorised capital to look bigger?

No. Authorised capital is a ceiling on shares you can issue, not money you must deposit, and a high figure only increases stamp duty now and MCA fees above ₹15 lakh. Start at ₹1 lakh to ₹10 lakh and increase it with SH-7 when a funding round needs it.
