How should co-founders split equity? (2026)
Split founder shares by what each founder will contribute over the next four years, put every founder on 4-year vesting with a 1-year cliff, and keep money put in outside the split. The Co-founder Prenup applies this to your team and shows where you disagree.

How the Co-founder Prenup works
One founder sets up the team in about two minutes and gets a private link for each co-founder. Each founder then answers 55 to 60 questions alone, in eight short chapters, in about 20 minutes: commitment, what each of you brings, money, equity and vesting, roles and decisions, ambition and exit, outside work and IP, and what-if scenarios.
Answers are shown to the team only when every founder has finished. Then you all see the same report: an alignment score, the gaps ranked by how often they break founding teams, a suggested starting split, the Indian rules that apply to your team, a founders' agreement term sheet and a plan for your founders' meeting. You can download it as a PDF.
What this means for you: you have the difficult conversations while you still enjoy working together, with a structure, rather than in a hurry when an investor asks for vesting or a founder wants to leave.
The gaps that break founding teams
Different plans for raising money, a co-founder keeping a day job, two people who want to be CEO. The report ranks every gap by how often it ends teams, with a question to ask each other and the ways other teams settle it.
A suggested split
From six factors every founder rates, with self-ratings counting half. See each founder's view side by side and try other weightings.
The credit check
Add up the credit each founder gives themself. It is usually more than 100%, and seeing that calmly takes the heat out of the split.
India checks
FEMA, resident directors, employer IP and the Articles: the rules that apply to your team, with the section that says so.
A term sheet and a meeting plan
Every clause your founders' agreement needs, marked agreed or to decide, plus an agenda for the conversation.
How to split equity between co-founders
Split by contribution from here, not by who had the idea. Founder shares pay for the next three to four years of work, so the factors that look forward carry most of the weight. Every founder rates every founder, including themself, on six factors. We turn those ratings into shares, count each founder's view of the others in full and their view of themself at half weight, and blend "time and commitment" with the hours each founder plans to give over four years.
| Factor | Weight | Why it counts |
|---|---|---|
| Time and commitment | 30% | Shares are a bet on the next four years, and time is the one thing every founder spends. We blend your ratings with the hours each founder plans to give. |
| Responsibility | 20% | The founder who carries the load and makes the hard calls takes on more of the job. |
| Hard-to-hire skills | 20% | A skill the company would struggle or pay heavily to hire is worth more than one it can buy. |
| Customers, sales and fundraising | 12% | Revenue, partners and investors keep the company alive long enough to matter. |
| Work done so far | 10% | The idea, a prototype or early customers count, but less than people expect. Most of the work is still ahead. |
| Risk taken | 8% | Giving up a salary or savings is real, but it is usually rewarded through salary and vesting, not a bigger stake. |
Self-ratings count half because almost everyone overrates their own share. Ask two founders what share of the work each does, and the answers usually add up to more than 100%. The report shows that number, the credit check, so you can talk about it calmly.
If the result lands within a couple of points of an equal split, we suggest splitting equally. Equal can be right. It works best as a decision rather than a default: in a study of 1,476 founders, equal splits agreed in under a day went with lower valuations at the first funding round (Hellmann and Wasserman, "The First Deal").
Money put in stays out of the split. Founder shares are usually issued at face value, so cash at the same price would swamp any split you agree. Bring it in as a director's loan, as money that converts at your first investor's price, or as priced shares.
A worked example
Aarav and Meera are building Saffron Labs, a fictional startup. Aarav is full-time, brought the idea and the first customers, and will be CEO. Meera built the prototype and joins full-time in three to six months. Their combined ratings and planned hours give a suggested split of 54% for Aarav and 46% for Meera. Aarav asked for 60:40 and Meera for 50:50, so the report puts the split on their agenda, next to when Meera goes full-time and what Aarav's ₹5 lakh is worth. Open their sample report
Indian rules co-founders miss
The report checks these against your answers. Here is the short version of each.
Vesting, leaver buy-backs and limits on selling shares bind the company and every shareholder only if they are also in the Articles. The Supreme Court refused to enforce a transfer restriction that was missing from the Articles in V.B. Rangaraj v. V.B. Gopalakrishnan.
Every company needs at least one director who stays in India for 182 days or more in each financial year, pro-rated in the first year (Section 149(3), Companies Act). An LLP needs a designated partner resident for 120 days.
Shares for a founder living outside India cannot be issued below fair value, and the company reports them in Form FC-GPR within 30 days of allotment. NRIs and OCIs can also invest on a non-repatriation basis.
Citizens of Afghanistan, Bangladesh, Bhutan, China, Myanmar, Nepal or Pakistan usually need government approval before getting shares. A May 2026 amendment eases only small, non-controlling stakes of up to 10%.
Promoters, and directors holding more than 10%, generally cannot receive stock options (Rule 12, Share Capital and Debentures Rules). DPIIT-recognised startups are exempt for 10 years, but founder equity is still best held as shares.
Work made in the course of employment belongs to the employer first (Section 17, Copyright Act). Anything a founder, a freelancer or an agency made for the business must be assigned to the company in writing (Section 19).
Indian courts generally refuse to enforce a ban on competing after someone leaves (Section 27, Indian Contract Act). Non-solicitation, confidentiality and leaver terms do the real protecting.
Directors of a private company can be liable for its unpaid GST (Section 89, CGST Act) and, for tax years from 1 April 2026, its unpaid income tax (Section 323, Income-tax Act, 2025), if the company cannot pay and the director cannot show it was not their fault.
Questions founders ask about splitting equity
What is a co-founder prenup?
A co-founder prenup is a structured conversation, held before you sign anything, about equity, roles, money, decisions and what happens if someone leaves. Each founder answers the same questions privately, and then you compare answers. What you agree becomes the basis of your founders' agreement, which is the binding document.
How should co-founders split equity in India?
Split founder shares by what each founder will contribute over the next three to four years: time, responsibility, hard-to-hire skills, and sales and fundraising, with a smaller credit for work already done and risk taken. Put every founder on vesting, usually four years with a one-year cliff, and keep money put in outside the founder split. If your contributions come out roughly equal, an equal split is fine, as long as you agree a tie-breaker.
Is a 50:50 split between two co-founders a bad idea?
Not by itself. The risk is deadlock: with equal votes and no tie-breaker, one disagreement can freeze the company, and a serious dispute can end up before the National Company Law Tribunal. If you split 50:50, agree a tie-breaker in writing, such as a casting vote for the chairperson on operating matters and a named mentor for strategic ones.
What is founder vesting, and does it work in India?
Vesting means founders earn their shares over time. In India, founders usually receive all their shares at incorporation, and the founders' agreement gives the other founders the right to buy back the unearned part at face value if someone leaves early. To bind the company and every shareholder, the same terms should also go into the Articles of Association.
What happens to a co-founder's shares if they leave?
It depends on what you agree. A common approach: a founder who leaves before the one-year cliff keeps nothing; after it, they keep the shares they have earned and the rest can be bought back at face value. Good leavers, who leave for health, family or because the team asks them to step aside without wrongdoing, keep their earned shares or sell them at fair value. A bad leaver, after fraud or a serious breach, may have to sell earned shares back for less.
Should a co-founder who puts in more money get more equity?
Not through the founder split. Founder shares are usually issued at face value, often ₹10 each, so cash put in at the same price can swamp the split you agreed. Treat founder money as a director's loan, as money that converts into shares at your first investor's price, or as shares priced on a valuation.
Do we need a founders' agreement if investors will ask for a shareholders' agreement later?
Yes. A shareholders' agreement usually arrives with your first priced funding round, which can be a year or more away, and it mainly protects investors. A founders' agreement covers the founders now: the split, vesting, roles, IP and what happens if one of you leaves. Many of its terms carry over into the shareholders' agreement later.
What should a founders' agreement include?
The split and how the shares are held; vesting with the cliff, and what happens to unvested shares when someone leaves; good and bad leaver terms and the buy-back price; each founder's role, time commitment and outside work; who decides what, with a tie-breaker; assignment of all IP to the company; how founder money is treated; limits on selling shares, such as a right of first refusal; confidentiality and non-solicitation; and how disputes are settled. The report's term sheet lists each of these, marked agreed or to decide.
Does a founders' agreement need to be stamped or registered?
It needs stamping under the Stamp Act of the State where it is signed, on stamp paper or by e-stamping, on or before the day it is signed; for an agreement of this kind the duty is usually a small fixed amount. It does not need to be registered. An unstamped agreement is not void, but a court will not act on it until the duty and a penalty are paid. The share terms in it also need to be in the Articles to bind the company.
When should co-founders sign a founders' agreement?
As early as you can: before or straight after incorporation, and before anyone puts in money, hires or takes outside investment. Every month you wait adds work done and promises made that the split has to account for, which makes the conversation harder. Investors at the first priced round will expect vesting and IP assignment to be in place already.
Can a co-founder get stock options instead of shares?
Usually not. Under Rule 12 of the Companies (Share Capital and Debentures) Rules, 2014, promoters, and directors holding more than 10% of the shares, generally cannot receive stock options. DPIIT-recognised startups are exempt for their first 10 years, but founders normally hold shares with vesting rather than options.
One of us is still employed. Can they be a co-founder?
Yes, but check their employment contract first. Many contracts give the employer rights over anything created during employment, and Section 17 of the Copyright Act makes the employer the first owner of work made in the course of employment. Build on personal devices and personal time, and start that founder's vesting on the day they go full-time.
Can a co-founder live outside India?
Yes. Shares issued to a person living outside India count as foreign investment: the price cannot be below fair value under FEMA rules, and the company files Form FC-GPR within 30 days of allotment. At least one director must stay in India for 182 days or more in each financial year. A co-founder who is a citizen of a country that shares a land border with India usually needs government approval before getting shares.
Who sees our answers, and how long are they kept?
The prenup shows each founder's answers to the others only when every founder has finished; then all the founders see everything. Each private link opens one founder's answers, and the founder who sets up the prenup receives every link to pass on, so send each link straight to that co-founder. We contact you only if you ask us to or tick the box that allows it. Everything is deleted 90 days after the prenup is set up. The founder who set it up can delete it sooner, and each co-founder can delete their own answers at any time. Anonymous statistics, without names or contact details, are kept only if every founder opts in.
Is the suggested split legal advice?
No. It is a starting point built from your own answers, using the method explained on this page. Use it to have the conversation, then get your founders' agreement drafted and reviewed before anyone signs.
