What you can expect from us, what we need from you, how fees and government charges work, why timelines are estimates, and where we stand on liability and the law.

Who these terms are between

These terms are between you and BizExpress Advisors Private Limited ("BizExpress", "we"), CIN U74999MH2021PTC358654. They apply when you use bizexpress.in and when you engage us for any service listed on the site. Paying our fee, or telling us in writing to go ahead, is acceptance of these terms and of the scope stated on the relevant service page and in the price we sent you.

If a signed engagement letter exists for a piece of work, it applies together with these terms and prevails where the two differ.

Scope of services

Each service page describes what is included and what is not, by plan. The price we send you on WhatsApp or email after the first call is the scope for your work. Anything outside it is quoted separately before we do it. We do not start extra work and bill for it afterwards.

Our services are professional services: preparing and filing forms and returns, advising on structure and compliance, preparing documents such as pitch decks and financial models, and representing you before authorities where the engagement says so. We are not a law firm, a bank, an investor or a guarantor of any outcome.

Advice is based on the facts you give us and the law as it stands on the date we give it. Tax and company law in India change often; advice given for one year may not hold for the next unless we have been engaged to keep it current.

Your responsibilities

  • Give us complete, accurate and current information and documents, and tell us promptly if anything changes.
  • Confirm that the documents and signatures you provide are genuine and that you are authorised to act for the entity.
  • Respond to our requests within the time we ask for, because government deadlines do not move.
  • Keep your own copies of everything we file for you; we provide copies, but you are the record keeper of your business.
  • Pay government fees, stamp duty and other third-party charges when they fall due, either to us for onward payment or directly as we advise.
  • Use the portal credentials and digital signatures we help you obtain only for lawful purposes.

Where a delay, penalty or rejection results from information that was late, incomplete or wrong, the cost of putting it right is yours, and we will quote it before we do it.

Fees, government fees and payment

Our professional fee is shown on the service page and confirmed in the price we send you. It excludes GST, which is added at the rate in force, currently 18% for our services. Government fees, stamp duty, notary charges, courier and similar third-party costs are passed on at cost, itemised, with no mark-up.

Government fees vary by state and by the capital or class involved and can change without notice. If the fee changes between our quote and the filing, we charge the actual amount and show you the receipt.

Unless the price we sent says otherwise, our fee and the government fees are payable before we file. Monthly and annual plans are billed in advance for the period. Invoices not paid within 15 days may pause work on the file; we will tell you before that happens.

Payments are made through the payment link on our invoice or by bank transfer to the account on it. We never ask for payment to a personal account or through an unofficial link.

Timelines are estimates

The timelines on the site (for example 12 to 15 working days for a Private Limited Company) are our experience of how long each step usually takes once your documents are complete. They are not promises. Approval times depend on the MCA, the GST Network, the Income Tax Department, the Trade Marks Registry, banks and other portals, and on the queries those bodies raise. We follow up and keep you informed, but we cannot control their clocks.

Where a filing has a statutory deadline, we tell you the date and what we need from you by when. If you give us what we need on time, we file on time. If we miss a deadline through our own fault, we bear the government late fee that results and say so in writing.

Cancellation and refunds

Refunds are governed by our refund policy. In short: a full refund of our fee before work starts, a pro-rata refund before filing, no refund of government fees once paid, and resubmission included where a filing is returned for correction.

Either side may end an ongoing monthly or annual plan with 30 days' written notice. Fees for the notice period are payable. We hand over your records and portal access promptly on termination.

Confidentiality and data

We keep your information confidential and use it only for your work, as described in our privacy policy. We may disclose it where the law or a government authority requires, and we will tell you when we can.

Documents we prepare for you (deeds, resolutions, decks, models) are yours once paid for. Our templates, methods and tools remain ours, and you may not resell them.

Liability

We do the work with the care and skill expected of a competent professional. If we get something wrong, we put it right at our cost, including any government late fee that resulted directly from our error.

Our total liability for any engagement, however it arises, is limited to the professional fee you paid us for that engagement. We are not liable for indirect or consequential loss, loss of profit, loss of a funding round, or for the acts of government portals, banks, courier services or other third parties. Nothing here limits liability that cannot be limited under Indian law.

You must raise any claim within 12 months of the work being completed.

Using the website

The information on bizexpress.in, including the guides, calculators and glossary, is general information for Indian founders, not advice on your specific situation. Prices shown are current at the time of the last update and are confirmed on the call. Calculator results are estimates.

You may not scrape the site, attack it, submit false leads or use it to send spam. We may block access to anyone who does.

Links to government portals and third-party sites are provided for convenience; we do not control their content.

Governing law and disputes

These terms are governed by the laws of India. Courts at Mumbai, Maharashtra have exclusive jurisdiction over any dispute, subject to the paragraph below.

If there is a dispute, tell us first. We will try to resolve it within 30 days through a conversation with a director of BizExpress. If that fails, either side may go to court in Mumbai.

Changes and contact
