MGT-7

DefinitionMGT-7 is the annual return a company files with the MCA within 60 days of its AGM, listing shareholders, directors, share capital, meetings and changes during the year; small companies file MGT-7A instead.

The annual return is the public snapshot of who owns and runs a company. MGT-7 records the registered office, principal business, shareholding pattern, transfers, indebtedness, directors and key managerial personnel, board and general meetings held, and penalties or compounding during the year. It is due within 60 days of the AGM, so 29 November for an AGM on 30 September, and companies with paid-up capital of ₹10 crore or turnover of ₹50 crore or more need certification by a practising company secretary in MGT-8. You meet it every year once your company is no longer a small company. What it means for you: late filing costs ₹100 per day with no cap, and the data here is what investors, lenders and acquirers pull from the MCA to verify your cap table.
