The short answer

The short answerAn OPC needs documents from two people: you as the sole member and director, and your nominee. Add proof of the registered office with the owner's consent. Phone photos are fine, address proofs must be under two months old, and the nominee's consent in INC-3 is drafted by us for signature.

Which documents do you need for One Person Company?

11 documents in 3 groups. The note under each one says what format works and how recent it must be.

For you, the director and sole member

  • PAN cardClear photo of the front, all four corners visible; the name must match Aadhaar exactly.
  • Aadhaar card, or passport if you are an NRIAadhaar front and back; a passport's photo page and address page for foreign nationals, notarised and apostilled abroad.
  • Address proof not older than two months (bank statement, electricity bill or mobile bill)Dated within the last two months on the day we file. Download a fresh copy when you start.
  • A passport-size photoRecent, plain background, JPEG. A phone photo against a wall works.
  • Mobile number and email linked to Aadhaar, for OTP verificationFront and back. The mobile number linked to it receives the OTPs.

For the nominee

  • PAN card and Aadhaar cardClear photo of the front, all four corners visible; the name must match Aadhaar exactly.
  • Consent in Form INC-3, which we draft for signature
  • The nominee must be an Indian citizen and an adult, and can be a nominee in only one OPC

For the registered office

  • Utility bill not older than two months (electricity, water or gas)Dated within the last two months on the day we file. Download a fresh copy when you start.
  • No-objection certificate from the owner, even if the owner is a family memberSigned by the owner named on the utility bill. We send a one-page draft.
  • Rent agreement, if the premises are rentedRegistered or notarised copy, all pages. Must name the premises exactly as on the bill.

Why do applications get rejected?

  1. Nominee's PAN and Aadhaar details do not match

    A spelling difference between the nominee's PAN and Aadhaar stops the INC-3 consent. We check both before drafting it.

  2. Nominee already a nominee elsewhere

    A person can be a nominee in only one OPC and a member of only one OPC. Pick someone who is not already named in another.

  3. Address proof older than two months

    The most common resubmission for any company. Download a fresh bank statement or bill on the day you start.

  4. Home office without the owner's NOC

    If a family member owns the flat, the utility bill in their name plus their signed no-objection letter are both required.

Questions founders ask about OPC documents

Who can be the nominee and what do they need to provide?

Any adult Indian citizen who is not already a member or nominee of another OPC, usually a spouse, parent or sibling. They provide PAN, Aadhaar and a signed consent in Form INC-3, which we draft. They do not need a DSC, a DIN or an address proof for the filing.

Can an NRI register an OPC, and what documents change?

Yes, since the 2021 amendment an NRI can be the member of an OPC. A passport replaces Aadhaar for identity, and the address proof and passport copy must be notarised and apostilled or attested by the Indian embassy. The nominee must still be an Indian citizen resident in India.

Which address proofs work for the director?

A bank statement, electricity bill, mobile bill or telephone bill in your name, dated within the last two months. A driving licence or voter ID works as identity but not as the recent address proof the form asks for.

Can my home be the registered office?

Yes. Provide a utility bill in the owner's name not older than two months and a no-objection certificate from the owner, even if that owner is a family member. If the home is rented, add the rent agreement.

What if a document is rejected?

The Registrar issues a resubmission notice with the reason, and we refile within a day at no extra fee. Two resubmissions are allowed on the same application, so we check the common rejections above before filing rather than after.
