What changes the cost?

  1. Your state

    Stamp duty on the MOA, AOA and SPICe+ form is set by the state of the registered office. Tamil Nadu and Gujarat sit at the low end; Punjab and Kerala are among the highest.

  2. Authorised capital

    Stamp duty in most states rises with authorised capital, and the MCA fee starts above ₹15 lakh. Start at ₹1 lakh and increase it later with a simple filing.

  3. Number of directors

    Each director needs a Class 3 digital signature, added at cost. Two directors is the minimum and the usual case.

  4. Foreign directors or shareholders

    Documents need notarisation and apostille in the home country, and the DSC process takes longer. We quote this separately on the call.

  5. The plan you choose

    Starter covers incorporation with PAN and TAN. Growth adds GST, Udyam and Startup India applications, share certificates and bank account help. Complete adds INC-20A, the auditor appointment and a 12-month compliance calendar.

  6. A rejected name

    One resubmission is free inside the same application. A second application costs a fresh filing, which is why we search MCA and trademark records first.

What is not included

  • The statutory audit fee, quoted by the independent auditor after incorporation
  • Notarisation and apostille of documents for foreign nationals
  • Registered office rental or a virtual office, if you do not have an address
  • Professional tax, Shop and Establishment and other state registrations, quoted by state
  • Share capital deposited into the company bank account (it is your money, not a fee)

What is the government fee for Private Limited Company registration?

The MCA incorporation fee is nil for authorised capital up to ₹15 lakh, so the government cost is stamp duty on the MOA, AOA and SPICe+ form (set by your state), the PAN and TAN fee, and the digital signatures from a certifying authority. The table on this page shows each one for your state at ₹1 lakh capital.

Is GST charged on the registration fee?

GST at 18% applies on our professional fee only. Stamp duty, the PAN and TAN fee and the MCA fee are government charges and carry no GST. The estimator shows the GST line separately so you can claim input credit on it once the company is GST registered.

Why is stamp duty different in every state?

Stamp duty is a state levy under each state's stamp act, charged on the MOA, the AOA and the incorporation form. Rates are fixed amounts or a percentage of authorised capital, which is why the same company costs different amounts in Maharashtra, Karnataka and Delhi. The estimator uses the current figure for your state.

Does authorised capital of ₹10 lakh cost much more than ₹1 lakh?

Usually a few thousand rupees more, all of it stamp duty. The MCA fee stays nil up to ₹15 lakh. Since paid-up capital can be lower than authorised capital and you can increase authorised capital later, most founders start at ₹1 lakh and raise it before a funding round.

What does the cheap ₹999 offer leave out?

Digital signatures (₹1,500 to 2,000 each when added later), stamp duty (a surprise at filing), PAN and TAN, and the INC-20A filing. Add those and the cheap offer usually lands above our Starter price. Our estimate lists every line before you pay, and nothing is added later.

What will the company cost to run each year?

Plan for ₹15,000 to ₹25,000 a year for a small company: the statutory audit, AOC-4 and MGT-7A filings, DIR-3 KYC for each director and the income tax return. GST return filing is extra if you are registered. Our company annual filings page prices this the same itemised way.
