The short answer

The short answerYou need three sets of documents to register a Private Limited Company: identity and address proof for each director and shareholder, proof of the registered office with the owner's consent, and details for the forms we prepare. Phone photos are fine, address proofs must be under two months old, and nothing is couriered.

Which documents do you need for Private Limited Company?

For each director and shareholder

  • PAN cardClear photo of the front, all four corners visible; the name must match Aadhaar exactly.
  • Aadhaar card (or passport for foreign nationals)Aadhaar front and back; a passport's photo page and address page for foreign nationals, notarised and apostilled abroad.
  • Address proof not older than two months (bank statement, electricity bill or mobile bill)Dated within the last two months on the day we file. Download a fresh copy when you start.

For the registered office

  • Utility bill not older than two months (electricity, water or gas)Dated within the last two months on the day we file. Download a fresh copy when you start.
  • No-objection certificate from the ownerSigned by the owner named on the utility bill. We send a one-page draft.
  • Rent agreement, if the premises are rentedRegistered or notarised copy, all pages. Must name the premises exactly as on the bill.

Why do applications get rejected?

  1. Address proof older than two months

    The Registrar checks the date on bank statements and utility bills. Download a fresh statement or bill on the day you start.

  2. Name on PAN does not match Aadhaar or the DSC

    A missing middle name or an initial in one document and not the other causes a resubmission. We compare all three before applying for the digital signature.

  3. Utility bill not in the owner's name

    The registered office bill must be in the name of the person signing the no-objection certificate. A bill in a previous tenant's name is rejected.

  4. Blurred or cropped scans

    A photo that cuts off a corner of the PAN card or is unreadable is treated as missing. Shoot in daylight, flat on a table, all four corners visible.

  5. Mobile number not linked to Aadhaar

    SPICe+ uses an Aadhaar OTP for each director. If the number on record is old, update it at an Aadhaar centre before we file.

Questions founders ask about Pvt Ltd documents

Which address proofs are accepted for a director?

A bank statement, electricity bill, mobile bill or telephone bill in the director's name, dated within the last two months. A rent agreement on its own is not enough. For a foreign national the same documents apply, notarised and apostilled in the home country.

Can I use a rented flat or a co-working desk as the registered office?

Yes. You need the owner's utility bill (electricity, water or gas) not older than two months, a no-objection certificate from the owner, and the rent or licence agreement. Co-working spaces issue all three as a set; ask for the NOC in the company's proposed name.

Do NRIs and foreign nationals need different documents?

A passport replaces Aadhaar, and every document must be notarised and apostilled (or attested by the Indian embassy) in the country where the person lives. At least one director must be resident in India, so we also collect that director's Indian address proof.

Do documents have to be physically signed or couriered?

No. Incorporation is filed with digital signatures, and the subscriber and director declarations are e-signed. You upload phone photos or PDFs on WhatsApp; we prepare the forms and send them back for electronic signing. Only foreign nationals' attested documents involve paper.

What happens if a document is rejected by the Registrar?

The Central Registration Centre issues a resubmission notice with the reason. We fix the document and refile, usually within a day, at no extra fee. Two resubmissions are allowed before a fresh application is needed, which is why we check every file against the common rejections first.
