What changes the cost?

  1. Your state

    Stamp duty on the LLP agreement is a state levy on the agreement value. Kerala and Madhya Pradesh sit at the high end; Tamil Nadu at the low end.

  2. Capital contribution

    The stamp duty on the agreement is usually a percentage of the contribution, so a ₹10 lakh contribution costs more to stamp than ₹1 lakh.

  3. Number of partners

    Each designated partner needs a digital signature. Two is the minimum; more partners add a DSC each.

  4. The agreement itself

    A template costs nothing and covers nothing. A drafted agreement with profit split, capital, remuneration and exit terms is what our fee pays for.

  5. The plan you choose

    Starter covers incorporation with PAN and TAN. Growth adds the LLP agreement drafting, Form 3, GST and Udyam registration. Complete adds Form 8 and Form 11 for year one and DIR-3 KYC for both partners.

What is not included

Questions founders ask about LLP cost

What is the government fee for LLP registration?

The MCA fee for FiLLiP and the name reservation depends on the capital contribution and is small for most LLPs. The larger government cost is stamp duty on the LLP agreement, set by your state. Add two digital signatures and the PAN and TAN fee. The estimator shows each line for your state.

How is stamp duty on the LLP agreement calculated?

As a percentage of the capital contribution in most states, with a minimum amount, under the state's stamp act. The agreement is executed on stamp paper of that value, then filed in Form 3 within 30 days of incorporation. We confirm the exact figure for your state on the first call.

Is an LLP cheaper than a Private Limited Company?

Usually a little cheaper to register and clearly cheaper to run. No statutory audit is required until ₹40 lakh turnover or ₹25 lakh contribution, and the two annual forms (Form 11 and Form 8) cost less than a company's audit, AOC-4 and MGT-7A cycle.

Is GST charged on the fee?

GST at 18% applies on our professional fee only. Stamp duty, the MCA fee, PAN and TAN and the digital signatures are government-side costs without GST. The GST on our fee is claimable as input credit once the LLP is registered.

What happens to the cost if Form 3 is filed late?

The late fee for LLP forms rises with the delay, from ₹10 per day for small LLPs in the first 15 days and higher after that. On the Growth and Complete plans we draft the agreement and file Form 3 inside the 30-day window, so this does not arise unless the signed agreement reaches us late.

What does an LLP cost to run each year?

Plan for ₹8,000 to ₹12,000 a year for a small LLP: Form 11 by 30 May, Form 8 by 30 October, DIR-3 KYC for each designated partner and the income tax return. Audit applies only above the thresholds. GST returns are extra if registered.
