The short answerAn LLP needs identity and address proof for each partner, proof of the registered office with the owner's consent, and the commercial terms for the LLP agreement: contribution, profit share, designated partners and exit rules. Which documents do you need for Limited Liability Partnership?

For each partner

  • PAN cardClear photo of the front, all four corners visible; the name must match Aadhaar exactly.

Why do applications get rejected?

  1. Address proof older than two months

    Bank statements and utility bills must be dated within the window on the day of filing. Refresh them when you start.

  2. No resident designated partner

    At least one designated partner must be resident in India. If all partners live abroad, the filing fails until a resident partner is added.

  3. Utility bill not in the owner's name

    The registered office bill must match the person who signs the no-objection certificate.

  4. LLP agreement missing the required clauses

    Form 3 needs the contribution, profit share, rights and duties of partners and the designated partners named. A one-page template gets queried.

Questions founders ask about LLP documents

What documents does each partner provide?

PAN card, Aadhaar (or passport for a foreign national), an address proof not older than two months such as a bank statement or utility bill, a passport-size photo, and the mobile number and email linked to Aadhaar for the OTP. Designated partners also need a digital signature, which we apply for.

What do you need from us for the LLP agreement?

The capital each partner contributes (cash or kind), the profit and loss sharing ratio, who the designated partners are, and any special terms: remuneration, interest on capital, how a partner joins or exits. We draft the agreement from these, you sign it on stamp paper, and we file Form 3.

Can a foreign national be a partner?

Yes, subject to FDI rules for the sector. Their passport and address proof are notarised and apostilled in their home country. One designated partner must be resident in India, meaning 182 days or more in the previous financial year.

Which documents prove the registered office?

A utility bill (electricity, water or gas) not older than two months in the owner's name, a no-objection certificate from the owner, and the rent agreement if the premises are rented. A home address works with the family member's bill and NOC.

Is anything signed physically?

Only the LLP agreement, which is executed on stamp paper and signed by all partners, then scanned and filed in Form 3. Everything else is filed with digital signatures and uploaded from phone photos or PDFs.
