DefinitionForm 11 is the annual return every LLP files with the MCA by 30 May, listing its partners, their contributions and any changes during the financial year ended 31 March.
Form 11 is one of the two yearly filings that keep an LLP in good standing, the other being Form 8. It is due within 60 days of the financial year end, so by 30 May, and it reports the designated partners and partners, their capital contribution, whether the LLP has stakes in other entities, and a summary of partner changes. It needs no financial statements and is signed by a designated partner with a DSC; LLPs with contribution above ₹50 lakh or turnover above ₹5 crore also need certification by a practising company secretary. You meet it every May, even in a year with no business. What it means for you: late filing attracts a fee that rises with the delay, and an LLP with unfiled returns cannot be closed or converted until they are cleared.
