Registering in Mumbai
Who registers a company in Mumbai?
Every company with a registered office in Maharashtra is registered by ROC Mumbai (the Registrar of Companies, Maharashtra, Mumbai), except companies in the Pune region, which fall under ROC Pune. The filing itself is online through the Central Registration Centre, so there is no office visit; the ROC matters for later filings, inspections and any name or address change. The registered office can be anywhere in the city: a flat in Andheri, a co-working desk in BKC or a shop in Thane all work, as long as you have the owner's utility bill and no-objection certificate.
What does Maharashtra stamp duty add?
Maharashtra charges stamp duty on the memorandum, the articles and the SPICe+ form under the Maharashtra Stamp Act, collected by the MCA when you file. At ₹1 lakh authorised capital it is a fixed sum shown in the table below, and it rises with capital above that. Maharashtra sits in the middle of the state range: lower than Punjab and Kerala, higher than Tamil Nadu and Gujarat. The estimator computes it for your capital before you pay.
How long does it take in Mumbai?
The same 12 to 15 working days as anywhere in India, because the filing goes to the Central Registration Centre rather than the local office. Digital signatures on day 0, name approval in 3 to 4 working days, incorporation 8 to 10 working days after Part B is filed. The Mumbai-specific step comes after incorporation: profession tax registration with the Maharashtra government, which AGILE-PRO-S applies for during incorporation.
Do I need to visit your Mulund office?
No. Documents come in on WhatsApp as phone photos, forms are signed digitally, and the certificate arrives by email. Founders who prefer a meeting are welcome at the Mulund West office, Monday to Saturday, and we are happy to walk through the estimate and the first-year calendar in person.
What comes after incorporation in Maharashtra?
- Profession tax (PTEC and PTRC)
Maharashtra requires the company to enrol for profession tax (PTEC) and, once it has employees, register to deduct it (PTRC). AGILE-PRO-S applies for it at incorporation; the monthly or annual returns follow.
- Shops and Establishments
The Maharashtra Shops and Establishments Act applies to most commercial premises in Mumbai. An intimation is filed with the municipal corporation; establishments with 20 or more workers need a registration certificate.
- GST registration
Needed from day one if you sell across states or through marketplaces, otherwise from ₹40 lakh turnover for goods or ₹20 lakh for services. Many Mumbai startups register early for input credit on office rent and software.
- Bank account and INC-20A
Open the current account with the certificate, deposit the share capital and file INC-20A within 180 days. No business or borrowing until it is filed.

How much does it cost to register a company in Mumbai?
Our professional fee starts from ₹3,999 plus 18% GST. Add Maharashtra stamp duty on the MOA, AOA and SPICe+ form, two digital signatures and the PAN and TAN fee, all shown in the table above for ₹1 lakh capital and two directors. The MCA fee is nil up to ₹15 lakh authorised capital. Nothing is added later.
Which ROC handles Mumbai companies?
ROC Mumbai, the Registrar of Companies for Maharashtra, for a registered office anywhere in Mumbai, Thane, Navi Mumbai and most of the state. Companies in Pune and its region fall under ROC Pune. Incorporation itself is processed centrally, so the ROC affects later filings rather than the registration timeline.
Do I need profession tax registration in Maharashtra?
Yes. Every company in Maharashtra enrols for profession tax (PTEC) and pays a fixed annual amount, and once it pays salaries above the threshold it registers to deduct profession tax from employees (PTRC) and files returns. AGILE-PRO-S applies for both with the incorporation, and we walk you through the first payment and return.
Can I use a co-working space in Mumbai as the registered office?
Yes. The operator provides the three documents the Registrar needs: a utility bill in the operator's name not older than two months, a no-objection certificate for your proposed company name, and the licence agreement. Most Mumbai co-working spaces issue this pack on request. A virtual office plan from an operator works the same way.
Is stamp duty higher in Maharashtra than in other states?
It is mid-range. Maharashtra charges more than Tamil Nadu, Gujarat and most north-eastern states at ₹1 lakh capital, and considerably less than Punjab or Kerala. The figure is fixed at ₹1 lakh capital and rises with authorised capital, which is why we suggest starting at ₹1 lakh and increasing it before a funding round.
Can I register from Mumbai with a co-founder in another city or abroad?
Yes. Directors sign digitally from anywhere. At least one director must be resident in India, and a foreign co-founder's documents are notarised and apostilled in their country, which adds a week or two. The registered office decides the state and the ROC, so a Mumbai office means Maharashtra stamp duty and ROC Mumbai.
