Registering in Bengaluru
Who registers a company in Bengaluru?
Every company with a registered office in Karnataka is registered by ROC Bangalore, the Registrar of Companies for the state. The filing is online through the Central Registration Centre, so nobody visits the ROC; it matters for later filings, inspections and changes to the name or address. The registered office can be a flat in Indiranagar, a co-working desk in Koramangala or an office in Whitefield, as long as you have the owner's utility bill and no-objection certificate.
What does Karnataka stamp duty add?
Karnataka charges stamp duty on the memorandum, the articles and the SPICe+ form under the Karnataka Stamp Act, collected by the MCA at filing. At ₹1 lakh authorised capital it is a fixed sum shown in the table below, slightly above Maharashtra, and it rises with capital above that. The estimator computes it for your capital before you pay, so the Bengaluru figure is known on day one.
How long does it take in Bengaluru?
The same 12 to 15 working days as anywhere in India, because incorporation is processed centrally. Digital signatures on day 0, name approval in 3 to 4 working days, incorporation 8 to 10 working days after Part B is filed. Bengaluru founders tend to file the Startup India application in the same fortnight, which we handle from the same document set.
Do I need to visit your HSR Layout office?
No. Documents come in on WhatsApp, forms are signed digitally and the certificate arrives by email. Founders who want to meet are welcome at the HSR Layout office, Monday to Saturday, to go through the estimate, the ESOP plan or the first-year calendar in person.
What comes after incorporation in Karnataka?
- Karnataka Shops and Commercial Establishments
Most offices in Bengaluru register under the Karnataka Shops and Commercial Establishments Act within 30 days of starting, through the state labour department's portal. It is a common bank and landlord ask.
- Profession tax
Karnataka levies profession tax on the company and on employees above the salary threshold. AGILE-PRO-S applies for the enrolment at incorporation; monthly deductions and the annual return follow once you hire.
- GST registration
Needed from day one if you sell across states or through marketplaces, otherwise from ₹40 lakh turnover for goods or ₹20 lakh for services. SaaS companies billing customers outside Karnataka usually register at the start.

How much does it cost to register a company in Bangalore?
Our professional fee starts from ₹3,999 plus 18% GST. Add Karnataka stamp duty on the MOA, AOA and SPICe+ form, two digital signatures and the PAN and TAN fee, all shown in the table above for ₹1 lakh capital and two directors. The MCA fee is nil up to ₹15 lakh authorised capital. Nothing is added later.
Which ROC handles Bengaluru companies?
Do I need a Shops and Establishments registration in Karnataka?
Almost every office in Bengaluru does. The Karnataka Shops and Commercial Establishments Act requires registration within 30 days of starting, renewed periodically, and banks and landlords often ask for the certificate. It is filed online with the labour department; we quote it with the incorporation so it is done in the same month.
Can I use a co-working space in Bengaluru as the registered office?
Yes. The operator gives you a utility bill in its name not older than two months, a no-objection certificate for your proposed company name and the licence agreement, which is exactly what the Registrar needs. Koramangala, HSR Layout and Indiranagar operators issue the pack routinely, and a virtual office plan works the same way.
Is stamp duty in Karnataka higher than in Maharashtra?
Slightly, at ₹1 lakh authorised capital, and the gap stays small at higher capital. Both states sit in the middle of the national range, well below Punjab and Kerala. The table above shows both figures side by side so a founder choosing between the two cities can see the difference is a few hundred rupees, not a reason to pick a city.
Can a company in Bengaluru apply for Startup India recognition straight away?
Yes. DPIIT recognition can be applied for the day the certificate of incorporation arrives, and usually takes one to two weeks. Karnataka also runs its own startup policy with grants and reimbursements for registered startups, which we point you to on the call. The Section 80-IAC tax holiday is a separate application to the inter-ministerial board.
