The short answer

The short answerAnnual filings need three sets of documents: the year's financial records for the accounts and audit, the company's own records from incorporation and last year's filings, and each director's KYC for DIR-3 KYC. Most of it already exists in your accounting software or your incorporation folder.

Which documents do you need for Company Annual Filings?

11 documents in 3 groups. The note under each one says what format works and how recent it must be.

For the accounts

  • Bank statements for all company accounts, 1 April to 31 MarchPDF export from net banking with the bank's header; screenshots are not accepted.
  • Sales and purchase invoices, or an export from your accounting softwareA software export or a shared folder; phone photos of bills are fine.
  • GST returns filed during the year, if registeredPortal downloads or an export from your software, for the full year.

From the company's records

  • Current list of shareholders and any transfers during the yearAs on 31 March, with any transfer forms (SH-4) during the year.

From each director

  • PAN and Aadhaar, with the mobile number and email linked to them for the DIR-3 KYC OTPClear photo of the front, all four corners visible; the name must match Aadhaar exactly.
  • Disclosure of interest in other companies (Form MBP-1) for the first board meeting of the yearOne per director, signed at the first board meeting of the year; we draft it.

Why do applications get rejected?

  1. Director's DSC expired on the filing date

    Forms are signed with a director's digital signature. An expired token stops the filing until it is renewed, which takes a day.

  2. Director's mobile or email not linked for DIR-3 KYC

    The KYC needs an OTP on the director's own mobile and email. A number that belongs to the office or a colleague fails.

  3. Bank statements with gaps

    The audit needs every account for the full year, 1 April to 31 March. A missing month delays the audit, and the audit gates AOC-4.

  4. Shareholder list out of date

    MGT-7A carries the shareholding as on the year end. Transfers not recorded in the register cause a mismatch with last year's return.

Questions founders ask about Annual Filings documents

What do you need for the accounts and the audit?

Bank statements for every company account from 1 April to 31 March, sales and purchase invoices or an export from your accounting software, GST returns filed in the year, TDS challans and returns, and any loan agreements or money received from directors. If we keep your books, all of this is already with us.

What is needed for DIR-3 KYC?

Each director's PAN, Aadhaar, and the mobile number and email linked to them, because the form verifies both with an OTP. Directors who filed the full KYC before use the web version, which needs only the OTPs. A foreign director provides a passport and attested address proof.

Do I need last year's filings if you did not do them?

Yes. Last year's AOC-4, MGT-7A and audit report give the opening balances and the shareholding to carry forward. If they are missing we download what exists from the MCA portal and tell you what is pending.

What records does the company need to keep for the AGM?

The AGM notice, the directors' report, the audited financial statements and the minutes. We draft the notice and minutes on the Growth and Complete plans and keep the statutory registers, so an inspection finds them filled in.

Are physical signatures required?

The financial statements and the directors' report are signed by the directors and the auditor, which can be done electronically or on paper and scanned. The MCA forms themselves are signed with the director's digital signature. Nothing is couriered.
