Five mistakes we see every week

  1. A name too close to a registered trademark

  3. Authorised capital set higher than needed

Questions founders ask before registering

How much does it cost to register a Private Limited Company in India?

Between ₹12,000 and ₹25,000 all-in for most founders, depending on the state, the number of directors and the plan. Our professional fee starts from ₹3,999. Digital signatures, stamp duty, PAN and TAN are added at cost and shown in the estimator above before you pay. Nothing is added later.

How long does registration take?

Twelve to fifteen working days from the day your documents are complete. Name approval takes three to four days, the SPICe+ filing and registrar processing another eight to ten. PAN and TAN arrive with the certificate. Most delays come from address proofs older than two months or a name conflict, which we check first.

Is there a minimum capital requirement?

No. The minimum paid-up capital requirement was removed in 2015. Most founders start with ₹1 lakh of authorised capital and ₹10,000 to ₹1 lakh paid up. Keep authorised capital modest at the start because stamp duty in most states rises with it; you can increase it later with a simple filing.

Can I use my home as the registered office?

Yes. A residential address is allowed as the registered office. You need a utility bill in the owner's name not older than two months and a no-objection certificate from the owner, even if the owner is you or a family member. You can change the address later with form INC-22.

Can an NRI or a foreign national be a director?

Yes, with one condition: at least one director must have stayed in India for 182 days or more in the previous financial year. Foreign directors need a passport and an address proof, apostilled or notarised in their country. We handle the DIN and DSC for them the same way.

What has to be done after incorporation?

Four things in the first 180 days: hold the first board meeting and appoint an auditor within 30 days, issue share certificates within 60 days, deposit the share capital into the company bank account, and file INC-20A within 180 days. The Growth and Complete plans cover most of these; we send the dates either way.

Do I need GST registration on day one?

Only if you sell through e-commerce platforms, sell across state lines, or expect to cross ₹40 lakh turnover for goods or ₹20 lakh for services. Many founders register early to claim input credit on expenses. The Growth plan includes GST registration; we tell you on the first call whether you need it now.

What if my company name is rejected?

You get one free resubmission with two fresh names inside the same application. We check MCA records and the trademark registry before filing, so rejections are rare. If you have a strong preference, we tell you the risk up front rather than filing and hoping.

Can I register a company myself on the MCA portal?

Yes. SPICe+ is a public form. Founders who do it themselves usually spend two to three weeks on it and get stuck at the DSC, the MOA drafting or a resubmission. Our fee covers the drafting, the filing, the follow-ups and the mistakes we have already made for you.

What does a Private Limited Company cost to run each year?

Typically ₹15,000 to ₹25,000 a year for a small company: the statutory audit, AOC-4 and MGT-7A filings, DIR-3 KYC for each director, and the income tax return. GST filings are extra if registered. We publish the annual filings price on its own page, with the same itemised approach.
